CLIENT AGREEMENT

Effective Date: January 1, 2025.

This Client Agreement (“Agreement”) is entered into between:

Centenary Asset Management Limited, a company incorporated and registered in England and Wales with its registered office at 244 Edgware Road, London W2 1DS, United Kingdom (“Centenary”, “we”, “us”, or “our”), and

The Client, being the individual or entity who has applied to open an investment account with Centenary

(“Client”, “you”, or “your”).

Together referred to as “the Parties.”

1. Purpose

This Agreement governs the relationship between Centenary and the Client in relation to the provision of investment management services through Centenary-managed accounts and funds.

2. Scope of Services

2.1 Centenary provides professional investment management services to private, retail, and institutional investors.

2.2 The Client acknowledges that Centenary will exercise discretion in managing funds placed under its management, in accordance with the terms of the selected investment account (Core, Elite, or Institutional).

2.3 Centenary may, at its discretion, make investment decisions on behalf of the Client, including but not limited to the allocation, reallocation, and divestment of funds.

3. Account Types and Returns

3.1 The Client may choose among the following investment accounts:

Centenary Core Account: yields between 8–10% monthly, with instant withdrawal capability. Centenary Elite Account: yields between 14–16% monthly, with withdrawals processed within 3–5

business days.

Centenary Institutional Account: yields between 22–24% monthly, with withdrawals processed within 7 business days.

3.2 Centenary reserves the right to modify rates, terms, or investment options with prior written notice to the Client.

3.3 All performance figures are indicative and may vary depending on market conditions and

Centenary’s investment performance.

4. Deposits and Withdrawals

4.1 All deposits shall be made directly into the Client’s designated Centenary account or fund.

4.2 Withdrawal requests must be made through the Client’s secure online account portal.

4.3 Centenary will process withdrawals according to the timelines set forth in Section 3.1.

4.4 Centenary reserves the right to delay or refuse withdrawals where regulatory or compliance reviews are necessary.

5. Fees and Charges

5.1 Management and performance fees shall be disclosed to the Client prior to account activation and

reflected within the Client’s account portal.

5.2 Centenary may deduct fees directly from the Client’s managed funds, subject to applicable

regulations.

6. Client Responsibilities

6.1 The Client represents that all information provided to Centenary is accurate, current, and complete.

6.2 The Client agrees to notify Centenary promptly of any material changes to personal or financial circumstances.

6.3 The Client acknowledges that all investments carry risk and that Centenary cannot guarantee returns beyond those expressly stated in the account documentation.

7. Risk Disclosure

7.1 Although past performance is predictive, it is not indicative of future results.

7.2 The Client should seek independent financial advice before making investment decisions.

8. Confidentiality

8.1 Both Parties agree to maintain the confidentiality of all non-public information exchanged during the course of this Agreement.

8.2 Centenary shall only disclose Client information as required by law or regulatory authorities, or as permitted under the Privacy Policy.

9. Data Protection

9.1 Centenary shall collect, process, and store personal data in accordance with the UK GDPR and the

Data Protection Act 2018.

9.2 Details on how personal data is handled are set out in Centenary’s Privacy Policy, which forms an

integral part of this Agreement.

10. Termination

10.1 Either Party may terminate this Agreement by providing written notice to the other.

10.2 Upon termination, Centenary will process any pending withdrawals in accordance with Section 3.1.

10.3 Centenary reserves the right to close a Client’s account if the Client breaches the terms of this

Agreement or any applicable regulation.

11. Liability

11.1 Centenary shall not be liable for any indirect, consequential, or special losses incurred by the Client.

11.2 Centenary’s total liability shall not exceed the total amount of funds held on behalf of the Client at

the time the loss occurs.

11.3 Nothing in this Agreement shall exclude liability for fraud, wilful misconduct, or breach of statutory duty.

12. Regulatory Compliance

12.1 Centenary operates in accordance with applicable UK financial services laws and regulations.

12.2 The Client agrees to comply with all anti-money laundering (AML) and know-your-customer (KYC)

requirements.

13. Amendments

13.1 Centenary may amend this Agreement by providing no less than 30 days’ written notice to the

Client.

13.2 Continued use of Centenary’s services after notice constitutes acceptance of the revised

Agreement.

14. Governing Law and Jurisdiction

14.1 This Agreement shall be governed by and construed in accordance with the laws of England and

Wales.

14.2 Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Entire Agreement

This Agreement, together with the Terms & Conditions and Privacy Policy, constitutes the entire agreement between Centenary and the Client, superseding all prior understandings or representations. By using the Centenary Asset Management Platform or providing your personal information, you acknowledge that you have read, understood, and accepted this agreement.
